1Introduction
The following terms and conditions (these “Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Ritual Labs LLC, a Delaware limited liability company (“Ritual Labs,” “we,” “us,” or “our”), governing your access to and use of the Ritual Rips mobile application, the website located at ritualrips.com, and all related services, features, and content made available by us (collectively, the “Service”).
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER IN SECTION 26, WHICH AFFECT YOUR LEGAL RIGHTS. THEY ALSO CONTAIN IMPORTANT DISCLOSURES ABOUT RANDOMIZED OUTCOMES IN SECTION 5 AND AN ASSUMPTION OF RISK IN SECTION 22.
By creating an account, accepting these Terms within the Service, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Service.
1.1Structure of These Terms; Incorporated Policy
Sections 29 through 32 set out, in full, the provisions governing published odds and fairness, refunds and cancellations, shipping and delivery, and identity verification and anti-money laundering. Those Sections form part of these Terms. Sections 1 through 28 summarize them for convenience. Where a summary in Sections 1 through 28 conflicts with the corresponding provision of Sections 29 through 32, the provision in Sections 29 through 32 governs.
Our Privacy Policy is published as a separate document and is incorporated into and forms part of these Terms. It is available within the Service and on our website. Where a summary in these Terms conflicts with the Privacy Policy, the Privacy Policy governs.
| Subject Matter | Where Set Out |
|---|---|
| Collection, use, disclosure, and retention of personal information | Privacy Policy |
| Published probabilities, Pack value figures, Card availability, draw methodology, verification, and purchasing controls | Section 29 |
| Circumstances in which refunds are and are not available | Section 30 |
| Fulfillment, carriers, timing, insurance, and delivery claims | Section 31 |
| Identity verification, sanctions screening, transaction monitoring, and tax reporting | Section 32 |
1.2Contracting Party
You contract solely with Ritual Labs. Ritual Labs is the merchant and seller of record for every transaction conducted through the Service. We engage third parties to process payments, verify identity, and to store, value, draw, grade, and ship physical collectible items. Those third parties are our service providers; they are not parties to these Terms, and your agreement is with us.
2Eligibility
2.1Age Requirement
You must be at least eighteen (18) years of age, or the age of legal majority in your state of residence if greater, and otherwise capable of forming a binding contract, in order to access or use the Service. The Service is not directed to, and may not be used by, minors.
You will be required to attest to your age when you first accept these Terms. We record that attestation, together with the date and time and the specific versions of these Terms and the Privacy Policy presented to you. We reserve the right to verify your age and identity at any time, and we verify identity prior to any withdrawal in accordance with Section 12.
2.2Geographic Restrictions
The Service is offered only to residents of, and only within, the United States. The Service is not available in all U.S. states. Randomized-outcome collectible products are regulated differently from state to state. We maintain a current list of the states in which the Service is available, which is displayed within the Service at registration, is published on our website, and is subject to change at any time.
We determine your eligibility on the basis of your billing address, the residential address associated with your verified identity, and the location from which the Service is accessed. We may restrict, suspend, or refuse access on that basis at any time.
2.3Prohibited Persons
You may not access or use the Service if you are:
- under eighteen (18) years of age;
- located in, ordinarily resident in, or accessing the Service from a jurisdiction in which the Service is not offered;
- identified on any list of prohibited or restricted parties maintained by the U.S. government, including the Specially Designated Nationals and Blocked Persons List maintained by the Office of Foreign Assets Control (“OFAC”); or
- located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to comprehensive U.S. sanctions.
2.4Circumvention
The use of a virtual private network, proxy service, false address, or another person’s identity for the purpose of circumventing the restrictions in this Section 2 constitutes a material breach of these Terms and grounds for immediate termination under Section 15.
3Accounts and Registration
3.1Account Creation
You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to maintain and promptly update that information, including your legal name, residential address, and contact details, on which we rely for identity verification and fulfillment.
3.2One Account Per Person
You may establish and control one (1) account only. Accounts are personal to you and may not be sold, assigned, transferred, or shared. You may not permit any other person to access or use your account, and you may not access or use the account of any other person.
3.3Account Security
You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account. You agree to notify us immediately at support@ritualrips.com if you know or suspect that your account has been accessed without your authorization. We are not liable for any loss arising from your failure to safeguard your credentials, except to the extent such loss results from our gross negligence or willful misconduct.
3.4Account Closure by You
You may close your account at any time through the Service. Because we cannot close an account that continues to hold your funds or your property, you must first withdraw your entire Balance and either accept a Buyback Offer for, or request physical shipment of, each Vaulted Item you hold. Upon completion of those steps we will close your account and delete your personal information other than records we are required to retain under applicable law, as described in Section 12.6 and in the Privacy Policy.
4The Service
The Service enables you to purchase Packs containing physical collectible trading cards, to hold those cards in third-party custody, to accept time-limited buyback offers for them, and to request physical delivery of them.
For purposes of these Terms:
- “Pack” means a fixed-price offering through which one or more physical collectible trading cards are allocated to you by a randomized draw.
- “Card” means a physical collectible trading card allocated to you through a Pack.
- “Vault” means the insured third-party facility at which Cards are stored.
- “Vaulted Item” means a Card held on your behalf in the Vault.
- “Buyback Offer” means our time-limited offer to repurchase a Vaulted Item at a stated price, as described in Section 7.
- “Balance” means the prepaid U.S. dollar amount held in your account, as described in Section 10.
5Packs and Randomized Outcomes
5.1Nature of a Pack
A Pack is a fixed-price purchase of one or more Cards allocated by randomized draw from a defined pool of eligible Cards. Each Pack displays, prior to purchase, its price, its rarity tier structure, the value range and published probability of each tier, and a value figure for the Pack — being either the average value of the Cards it contains or the expected value of the Pack.
You are purchasing a randomized allocation from a disclosed pool. Until a Card is allocated to you, you hold no right or interest in any particular Card in that pool.
A Card configured as part of a Pack is not guaranteed to be available at any given moment. Cards are individual physical items, each of which may be allocated only once, and a Card listed for a Pack may be out of stock at the time of your draw — because it has already been allocated to another User, because it has been shipped or withdrawn from the vault, or because it is otherwise unavailable at our vaulting and fulfillment provider. Your Card is allocated from the Cards actually eligible at the moment of your draw. Nothing is substituted for a Card that is unavailable, and the unavailability of any Card is not a ground for a refund. See Section 29.3.6.
5.2Randomized Outcome
THE OUTCOME OF EVERY PACK IS RANDOM. NO PARTICULAR CARD IS GUARANTEED. THE CARDS YOU RECEIVE MAY BE, AND FREQUENTLY WILL BE, WORTH SUBSTANTIALLY LESS THAN THE AMOUNT YOU PAID. MOST PACKS RETURN LESS THAN THEIR PURCHASE PRICE. YOU SHOULD NOT PURCHASE PACKS WITH FUNDS YOU CANNOT AFFORD TO LOSE.
Every Pack returns at least one real Card. There is no outcome in which you pay and receive nothing.
The probabilities published for a Pack are accurate as of the time of purchase and are applied uniformly to all Users. We do not vary published probabilities by User, session, spend history, account tenure, or prior outcomes. Past outcomes, including outcomes received by other Users, do not make any future outcome more or less likely. Section 29 (Odds Disclosure and Fairness) describes our probabilities, Pack value figures, Card availability, draw methodology, and the means by which you may verify an outcome.
5.3Sales Are Final
ALL SALES OF PACKS ARE FINAL. A Pack is opened, and its outcome determined, immediately upon purchase. Once opened, a Pack may not be cancelled, refunded, returned, or reversed, including where you are dissatisfied with the outcome. Section 9 and Section 30 (Refunds and Cancellations) set out the limited circumstances in which refunds are available.
5.4Card Valuations
Valuations displayed within the Service are derived from an independent third-party market data feed. Such valuations are estimates only. They fluctuate, they may differ materially from any price at which a Card could actually be sold, and they do not constitute an appraisal, an offer, a guarantee, or investment advice. We are not responsible for changes in the market value of any Card.
5.5No Investment Purpose
The Service is offered for collecting and entertainment purposes. Cards are collectible goods and are not securities, commodity interests, investment contracts, or financial instruments of any kind. Nothing in the Service constitutes investment, financial, tax, or legal advice.
6Asset Management and Custody
6.1Title
You acquire and retain full legal title to each Card allocated to you, from the moment the Pack from which it was allocated has been opened. Ritual Labs does not take title to your Cards at any time while they are held in the Vault.
6.2Custody and Segregation
Cards allocated to you are physical items held in the constructive possession of Ritual Labs and in the physical custody of our third-party vaulting and fulfillment provider, at insured, access-controlled facilities in the United States. We hold your Cards as custodial agent only.
Your Cards are your property, not ours. They are segregated as customer property, they are not assets of Ritual Labs, they do not appear on our balance sheet, and they are not subject to the claims of our creditors. You hold each Card digitally within the Service until such time as you accept a Buyback Offer for it, request its physical delivery, or the Buyback Offer is accepted on your behalf at the end of the one hundred fifty-six (156) hour period under Section 7.3.
6.3Insurance
Cards held in the Vault are covered under insurance policies maintained by our vaulting and fulfillment provider and its vault partners. Ritual Labs is not the insurer. Coverage is subject to the terms, deductibles, exclusions, and per-incident and aggregate limits of the applicable policies, and may be insufficient to cover the full replacement value of all stored items in every circumstance. We do not independently guarantee the adequacy of that coverage.
6.4Grading
Cards are graded by independent third-party grading companies. Ritual Labs does not grade Cards and does not represent, warrant, or guarantee the accuracy of any grade assigned by a grading company. A grade reflects the opinion of the grading company that assigned it and may be revised, disputed, or reassessed by that company.
6.5Assumption of Custodial Risk
You acknowledge and agree that the safekeeping of Vaulted Items depends upon the continued operation and solvency of our vaulting and fulfillment provider and its vault partners, and upon the adequacy of their insurance. We select and monitor that provider with reasonable care and require, by contract, insured storage and segregation of customer property. We do not, however, guarantee against the insolvency, failure, or business discontinuation of that provider, or against loss in excess of applicable insurance limits. In the event of such failure we will use commercially reasonable efforts to recover and return customer property, and recovery may be delayed, partial, or unsuccessful.
6.6Discontinuation of the Service
If we cease to operate the Service, we will provide no less than ninety (90) days’ written notice to the email address associated with your account, together with instructions for reclaiming your property. During that period, and for no less than ninety (90) days following that notice, you may withdraw your Balance and request physical delivery of each Vaulted Item you hold.
We will identify, segregate, and return customer property to its owners. We will verify your identity before releasing any Card, in order to prevent unauthorized claims. Shipping charges and any applicable taxes during such a period remain payable by you in accordance with Section 8. We will return the physical Card itself and will not substitute a cash payment in lieu of it, except where a Card has been lost or damaged and a claim lies against applicable insurance. Property that remains unclaimed at the end of that period may become subject to applicable abandoned property law.
7Buyback Offers
7.1The Offer
We may extend a Buyback Offer in respect of an eligible Vaulted Item, at a price stated within the Service before your acceptance. Acceptance of a Buyback Offer is entirely at your discretion. A Buyback Offer is a separate, voluntary transaction. It is not a refund, and accepting or declining one does not affect any right you have under Section 30 (Refunds and Cancellations).
7.2The Buyback Price
A Buyback Offer is made at ninety percent (90%) of the fair market value of the Card, as that value stood at the time the Pack from which it was allocated was purchased.
That price is fixed at the time of purchase and does not change in either direction. A subsequent rise or fall in the market value of the Card does not alter it. The exact amount is displayed to you before you accept.
We may change the percentage applied to future purchases. Where we do, the change is published before it takes effect and does not apply to any Card already allocated to you.
7.3The 156-Hour Offer Period
A Buyback Offer remains open for one hundred fifty-six (156) hours — six and one-half (6.5) days — after the purchase of the Pack from which the Card was allocated. The time remaining is displayed against the Card within the Service, and it counts down to the moment the Card is sold.
Within that period you must either accept the Buyback Offer or request physical delivery of the Card under Section 8. If you have done neither by the end of the one hundred fifty-six (156) hour period, we will accept the Buyback Offer on your behalf at the end of that period and credit the proceeds to your Balance, at the price stated in the offer and fixed under Section 7.2. The Card then leaves the Vault and ceases to be held for you.
No Card is held in the Vault beyond the one hundred fifty-six (156) hour period, except where a hold, restriction, or review under Section 12 or Section 15 makes the Card ineligible for buyback under Section 7.4, in which case it remains in the Vault until that circumstance is resolved. At the end of the offer period, the Card leaves your active collection and new shipping requests are no longer available. If the automatic sale cannot be completed, the Card remains your property pending reconciliation; its status remains available in your collection history. Contact support@ritualrips.com for assistance. A pending or failed sale does not extend the shipping window or mean that sale proceeds have already been credited. There is no indefinite storage, and a Card cannot otherwise be retained in the Vault without either accepting the Buyback Offer or requesting delivery.
7.4Eligibility
A Card is not eligible for buyback where you have requested its physical shipment, where it has left the Vault, or while your account, your Balance, or the Card is subject to a hold, restriction, or review under Section 12 or Section 15.
We may suspend the availability of Buyback Offers generally, or in respect of any category of Card, at any time. Suspension does not affect a Buyback Offer already extended to you and still within its offer period.
7.5Finality
Acceptance of a Buyback Offer is final and irrevocable upon confirmation. Proceeds are credited to your Balance.
8Physical Redemption and Shipment
8.1Right to Request Delivery
You may request physical delivery of any Vaulted Item you hold, at any time within the one hundred fifty-six (156) hour offer period described in Section 7.3, with no minimum holding period and no minimum shipment value. You must confirm your shipping request before that period ends. Obtaining a quote alone does not initiate shipping or extend the deadline. Cards not requested for shipping within the period enter the automatic sell-back process under Section 7.3. Section 31 (Shipping and Delivery) governs fulfillment in full.
8.2Shipping Charges
Shipping is priced per shipment and is quoted to you before you confirm, from our fulfillment provider’s live rate for the specific shipment being configured. A quotation may comprise both carriage and a vault withdrawal fee. Shipping charges are payable in addition to amounts previously paid and are not included in the price of a Pack. Where a quotation has expired, a current quotation will be obtained before your shipment is processed.
8.3Effect of a Shipment Request
Upon your request for shipment, the Card becomes permanently ineligible for buyback, notwithstanding that the 156-hour offer period described in Section 7.3 may remain open. You may cancel a shipment request, without charge, at any time before the Card leaves the Vault.
8.4Delivery, Title, and Risk of Loss
Delivery estimates are estimates only and are not guaranteed. Each shipment is tracked and insured in transit. Risk of loss of a Card passes to you upon delivery, not upon dispatch. Until delivery, the shipment is insured and any claim against the carrier is ours to pursue.
8.5Accuracy of Delivery Information
You are solely responsible for providing a complete and accurate shipping address and recipient name. We are not responsible for a shipment misdelivered as a result of information you provided, and any re-shipment in such circumstances is at your expense. We are not responsible for a shipment stolen after it has been successfully delivered, or for damage caused after delivery.
9Refunds and Cancellations
Section 30 (Refunds and Cancellations) governs refunds and cancellations in full. In summary:
- Packs are final. A Pack opens upon purchase, and its outcome is not subject to cancellation, refund, or reversal. Dissatisfaction with an outcome, and any change in the market value of a Card following purchase, are not grounds for a refund.
- We issue refunds in respect of a charge that did not result in an allocation, a duplicate or erroneous charge, a shipment confirmed lost in transit, a Card delivered damaged or not conforming to the Card allocated to you, and a transaction you did not authorize.
- Shipment requests may be cancelled without charge before the Card leaves the Vault. Accepted Buyback Offers are final upon confirmation.
- Refunds are credited to your Balance or, where practicable, returned to the original payment method.
Nothing in this Section 9 limits any right of refund or cancellation available to you under applicable consumer protection law.
10Your Account Balance
10.1Nature of the Balance
Your Balance is a prepaid amount, denominated in U.S. dollars, held by us for the purpose of your purchases and withdrawals through the Service.
YOUR BALANCE IS NOT A BANK DEPOSIT. IT IS NOT INSURED BY THE FEDERAL DEPOSIT INSURANCE CORPORATION OR BY ANY OTHER GOVERNMENTAL AGENCY. IT DOES NOT BEAR INTEREST.
10.2Restrictions
Your Balance has no value apart from the amount stated, may not be used outside the Service, and may not be sold, assigned, gifted, or transferred to any other User or any third party.
10.3Withdrawals
Withdrawals are subject to:
- completion of identity verification in accordance with Section 12;
- a holding period of seven (7) days from the date funds are credited to your Balance before those funds become eligible for withdrawal;
- a minimum withdrawal of ten U.S. dollars ($10.00);
- a rolling limit of two thousand five hundred U.S. dollars ($2,500) per twenty-four (24) hour period;
- completion of any tax information we are required to collect, as described in Section 32.6;
- transmission to a payment instrument held in your own verified legal name; and
- review in accordance with Section 12.
A withdrawal to a bank account ordinarily arrives one (1) to three (3) business days after it is initiated. Where a faster method is available to you within the Service, that method states its own timing and any applicable fee before you confirm it. Arrival is determined in part by your financial institution and by the payment rails available to it.
We may return funds to the payment method from which they were deposited. We may adjust the limits described in this Section 10.3 for any account, and we will notify you where we do so other than in connection with a review under Section 12.
10.4Inactive Accounts and Unclaimed Balances
Where your account remains inactive for the period prescribed by applicable unclaimed property law, we may be required to report and remit your Balance to the appropriate state authority. We will attempt to contact you at the email address associated with your account before doing so. We do not charge a dormancy fee and deduct nothing from a Balance before remitting it. Any activity on your account restarts the dormancy period. See Section 32.7.
11Payments, Pricing, and Taxes
11.1Payment Processing
Payments are processed by our third-party payment provider. Deposits and purchases may be made by major credit and debit card, including Visa, Mastercard, and other supported networks, and by any other method we make available within the Service from time to time. Card payments are ordinarily processed within minutes. By submitting a payment you also agree to that provider’s terms of service.
Payment card details are processed and stored by our PCI-compliant payment provider and are not stored by us. We do not receive or store complete payment card numbers.
11.2Pricing and Fees
Prices are stated in U.S. dollars and are displayed before you confirm a purchase. We set the retail price of each Pack. We may modify prices at any time. A price change never applies to a purchase you have already completed.
Every fee applicable to a transaction is displayed to you before you confirm that transaction, including any deposit, withdrawal, or shipping fee. We charge no fee for opening or holding an account, no fee for holding Cards in the Vault, and no fee for submitting a claim under Section 30 (Refunds and Cancellations).
11.3Taxes
As merchant of record, where we are required to collect sales, use, or similar transaction taxes, we calculate and collect such taxes and remit them to the applicable taxing authority. Any tax collected is displayed to you before you confirm.
Because we hold Cards as custodian while awaiting your instructions, applicable transaction tax is ordinarily calculated and collected at the point at which you request physical delivery of a Card, rather than at the point at which you purchase a Pack. Where the law of your state requires that tax be collected at the time of purchase, we collect it then, and the amount is displayed before you confirm.
You remain responsible for all other taxes applicable to you personally, including any income tax arising in respect of amounts you withdraw. Amounts you withdraw may be reportable, and we may be required to collect tax information from you and to file information returns, such as an IRS Form 1099, as described in Section 32.6. We do not provide tax advice, and we recommend that you consult a qualified tax professional.
11.4Chargebacks
If you initiate a chargeback or payment dispute with your card issuer or financial institution, we may suspend your account and place a hold on your Balance and Vaulted Items pending resolution. Where a dispute is resolved in our favor in respect of a transaction we are able to demonstrate was authorized and fulfilled, we may debit the disputed amount, together with any associated fee assessed against us, from your Balance. Repeated or unfounded chargebacks may result in permanent termination of your account.
We request that you contact us at support@ritualrips.com before initiating a chargeback. Disputes are ordinarily resolved more quickly and completely through direct contact.
12Identity Verification and Anti-Money Laundering
This Section 12 summarizes obligations described in full in Section 32 (Anti-Money Laundering and Identity Verification), which governs.
12.1Identity Verification
You must complete identity verification before your first withdrawal, and we may require it before we will dispatch a physical shipment. Verification is performed by our payment provider on our behalf and ordinarily requires your full legal name, date of birth, residential address, Social Security number or taxpayer identification number, and a government-issued photographic identification document, together with a liveness check where required.
We receive the outcome of that verification and a reference to it. We do not receive or store your identification documents, your complete government identification number, or any biometric information.
12.2Further Verification
We may require verification, or re-verification, at any other time, including where transaction amounts or activity patterns warrant enhanced due diligence, where information we hold appears inaccurate or outdated, where you change your withdrawal instrument or account credentials, or where applicable law requires it.
12.3Source of Funds
We may request information and documentation concerning the source of funds deposited and the purpose of your activity. We may decline to process any deposit, purchase, buyback, or withdrawal pending your response.
12.4Sanctions Screening
We screen Users against U.S. government sanctions and restricted-party lists, including those administered by OFAC, at registration and periodically thereafter. We will refuse, freeze, or reverse any transaction and terminate any account where screening so requires. Where applicable law requires that funds be blocked rather than returned, we will block them, and any release of blocked funds is a matter for the relevant governmental authority.
12.5Confidentiality of Reporting
We are required by law to report certain activity to governmental authorities. Applicable law prohibits us from disclosing that such a report has been made or from disclosing its contents. Accordingly, where we refuse, delay, freeze, or reverse a transaction, or terminate an account, for a reason connected with this Section 12, we may be unable to provide you with an explanation, and nothing in these Terms obligates us to do so.
12.6Recordkeeping
We retain identity verification records and transaction records for not less than five (5) years following the closure of your account, as required under the Bank Secrecy Act and its implementing regulations, and for longer where tax or other law so requires. Such retention survives the deletion of your account.
13User Representations and Warranties
When you access or use the Service, you hereby represent and warrant, to and for the benefit of Ritual Labs, its affiliates, and its and their respective officers, members, employees, and agents, as follows:
13.1 Age and Capacity. You are at least eighteen (18) years of age and have the legal capacity to enter into a binding contract.
13.2 Eligibility. You satisfy each eligibility requirement set out in Section 2, and you are not a prohibited person as described in Section 2.3.
13.3 Accuracy. All information you have provided to us is true, accurate, current, and complete, and you will maintain it as such.
13.4 Own Account. You are acting on your own behalf and for your own account, and not on behalf of, at the direction of, or for the benefit of any other person.
13.5 Lawful Funds. All funds you deposit are lawfully yours, are derived from lawful sources, and do not constitute the proceeds of any unlawful activity.
13.6 Payment Authorization. You are the authorized holder of each payment method you use in connection with the Service.
13.7 Sanctions. You are not identified on any U.S. government list of prohibited or restricted parties, you are not owned or controlled by any such person, and you are not located in, ordinarily resident in, or accessing the Service from any jurisdiction subject to comprehensive U.S. sanctions.
13.8 Compliance. Your access to and use of the Service complies with all laws applicable to you.
14Acceptable Use Policy
You agree that you are solely responsible for your conduct in connection with the Service. You agree that you will abide by these Terms and will not, and will not attempt to:
- use the Service if you are under eighteen (18) years of age, or on behalf of any person who is;
- create, control, or use more than one account, or use an account belonging to another person;
- provide false, misleading, stolen, or synthetic information to us or to our service providers;
- use any payment method that is not yours or that you are not authorized to use;
- use the Service to launder money, to finance terrorism, or to transmit, convert, or conceal the proceeds of unlawful activity;
- deposit funds and subsequently withdraw them without bona fide use of the Service, or otherwise use the Service principally as a means of transferring value;
- structure any deposit, purchase, buyback, or withdrawal for the purpose of evading a reporting, review, or verification threshold;
- access the Service from a jurisdiction in which it is not offered, or misrepresent or disguise your location;
- manipulate, or attempt to manipulate, the outcome of any draw, or circumvent any fairness or verification mechanism;
- exploit any error, defect, or vulnerability in the Service, including any pricing, valuation, or allocation error;
- use any robot, script, scraper, or other automated means to access the Service, to purchase Packs, or to extract data from the Service;
- reverse engineer, decompile, or disassemble any part of the Service, or attempt to derive the source code, draw mechanism, or probability weightings underlying it;
- interfere with, disrupt, overload, or probe the Service or its infrastructure, or attempt to gain unauthorized access to any account, system, or network;
- resell, redistribute, republish, sublicense, or commercially exploit any part of the Service or its content;
- impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- circumvent, or attempt to circumvent, a self-suspension, cooling-off period, or purchasing limit you have set; or
- use the Service for any purpose that is unlawful or prohibited by these Terms.
Reporting of Errors. If you become aware of any error, defect, or vulnerability in the Service, including one operating to your advantage, you agree to notify us promptly at security@ritualrips.com. Exploitation of such an error constitutes a material breach of these Terms, and we may reverse any transaction and any Balance or allocation resulting from it.
15Suspension, Termination, and Account Closure
15.1Our Rights
We may suspend, restrict, or terminate your account, or your access to any part of the Service, where:
- you have breached these Terms or any incorporated policy;
- we are required to do so by applicable law or by a governmental authority;
- we reasonably believe your account is involved in fraud, money laundering, sanctions evasion, or other unlawful activity; or
- we reasonably believe such action is necessary to protect the Service, other Users, or any third party.
Where practicable and lawful, we will provide you with advance notice and an explanation, subject always to Section 12.5.
15.2Your Funds and Property
Termination of your account does not extinguish your Balance or your title to any Vaulted Item. Upon termination we will return your remaining Balance and permit withdrawal or shipment of each Vaulted Item you hold, for a period of not less than ninety (90) days, except and to the extent that applicable law, a sanctions obligation, a governmental order, or an ongoing investigation prevents us from doing so.
Where funds or property must be withheld, they will be withheld only for so long as the circumstance requiring it subsists. We do not treat a Balance or a Vaulted Item as a penalty or as our property, and your Balance and Cards are never forfeited by reason of suspension or termination.
15.3Survival
Sections 5.3, 5.4, 6.1, 6.2, 6.5, 10, 11, 12, 15.2, 17, 20, 22, 23, 24, 25, 26, and 33 survive any termination or expiration of these Terms.
16Fairness and Published Odds
16.1Uniform Application
The probabilities published for a Pack are the probabilities applied to the draw for that Pack, and are applied uniformly to all Users. We do not vary odds for any individual User or group of Users, and we do not alter the odds applicable to a purchase after it has been made.
16.2Draw Methodology
Draws are executed on the systems of our vaulting and fulfillment provider, from a server seed and a client seed. Neither Ritual Labs nor any employee, contractor, or affiliate of Ritual Labs can see, influence, select, or re-run the outcome of a draw. The client application does not perform a draw and does not receive the identity of a Card before the reveal. Each purchase settles once and cannot be re-run.
16.3Verification
Each purchase generates a verification record, available to you within the Service, by which you may confirm that the outcome you received is the outcome drawn and that it was not altered following the draw. Where a cryptographic commitment to the server seed was obtained before the draw, the record shows it. Section 29.6 describes the method in full.
16.4Changes to Published Odds
We may alter the probabilities applicable to future purchases of a Pack. Where we do so, the published probabilities, value ranges, and checklist for that Pack are updated contemporaneously. We may also retire a Pack, or remove it from sale, before every Card in its pool has been allocated.
17Ownership; License to the Service
17.1Our Intellectual Property
The Service, and all software, design, text, graphics, illustrations, artwork, data, and other content comprised in it, together with the Ritual Rips and Ritual Labs names, logos, and trade dress (collectively, the “Ritual Labs Content”), are and remain the exclusive property of Ritual Labs and its licensors, and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any right, title, or interest in the Ritual Labs Content to you.
17.2License Grant
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for its intended purpose. This license terminates automatically upon the termination of your account.
17.3Third-Party Intellectual Property
Card names, set names, images, character and team marks, league marks, and grading company marks are the property of their respective owners. Your ownership of a physical Card conveys no right, title, or interest in any intellectual property depicted on or associated with it.
18User Content
18.1Your Content
You retain ownership of any content you submit to or through the Service, including communications with our support function (“User Content”). You grant to us a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, and use User Content as necessary to operate, provide, secure, and improve the Service.
18.2Your Responsibility
You represent and warrant that you own or have the necessary rights to your User Content and that it does not infringe the rights of any third party or violate any applicable law.
18.3Feedback
Any suggestion, idea, or proposal you submit to us concerning the Service (“Feedback”) is provided voluntarily and non-confidentially. We may use, implement, and commercialize Feedback without restriction, attribution, or compensation to you.
19Third-Party Services and Terms
The Service integrates services provided by third parties, including our payment provider, our identity verification provider, our authentication provider, and our vaulting and fulfillment provider. Your use of such services may be subject to those providers’ own terms and privacy policies. We are not responsible for the acts, omissions, products, or services of any third party, and the inclusion of a third-party service does not constitute an endorsement of it.
20Copyright and DMCA Policy
We respect the intellectual property rights of others. If you believe that material available through the Service infringes your copyright, you may submit a notice to our designated agent at legal@ritualrips.com containing the information required by 17 U.S.C. § 512(c)(3), namely:
- a physical or electronic signature of the copyright owner or a person authorized to act on the owner’s behalf;
- identification of the copyrighted work claimed to have been infringed;
- identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate it;
- your contact information;
- a statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and
- a statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.
We will respond to properly submitted notices in accordance with the Digital Millennium Copyright Act and may terminate the accounts of repeat infringers.
21Investigations
We reserve the right, but assume no obligation, to investigate any suspected breach of these Terms or any unlawful activity in connection with the Service. In connection with any such investigation, we may suspend or restrict an account, place a hold on a Balance or a Vaulted Item, preserve and review account records, and cooperate with law enforcement and with governmental and regulatory authorities, including by disclosing information concerning you and your activity where we are permitted or required to do so.
22Assumption of Risk
You acknowledge and agree that:
- THE OUTCOME OF EVERY PACK IS RANDOM, AND MOST PACKS RETURN CARDS WORTH LESS THAN THEIR PURCHASE PRICE. Published probabilities describe the likelihood of an outcome across many draws. They make no representation concerning your draw or any finite number of draws.
- EACH DRAW IS INDEPENDENT. Prior outcomes do not affect subsequent outcomes. No quantity of purchases makes any outcome more likely, and you do not become entitled to any outcome by reason of the volume or duration of your purchases.
- THE MARKET VALUE OF COLLECTIBLE TRADING CARDS IS VOLATILE. Values may decline substantially and without notice, and the value of a Card at the time it is delivered to you may be materially lower than its value at the time it was allocated to you.
- CARD GRADING IS SUBJECTIVE. Grades are assigned by independent third parties and may be revised, disputed, or reassessed. We do not warrant any grade.
- CUSTODY DEPENDS UPON A THIRD PARTY, as described in Section 6.5, and insurance coverage may be insufficient in some circumstances.
- YOU MAY LOSE THE ENTIRE AMOUNT YOU SPEND. You should not purchase Packs with funds you cannot afford to lose.
If your purchasing on the Service ceases to be recreational, stop. The published probabilities do not change, and they will not begin to operate in your favor. Tools to limit or suspend your own purchasing, and sources of confidential help, are described in Section 29.10.
23Disclaimers
THE SERVICE, INCLUDING ALL CONTENT, MATERIALS, AND FUNCTIONALITY, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RITUAL LABS AND ITS SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES AND CONDITIONS, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT ANY VALUATION DISPLAYED WITHIN THE SERVICE IS ACCURATE OR ACHIEVABLE, OR THAT ANY CARD WILL RETAIN ITS VALUE. WE ARE NOT RESPONSIBLE FOR CHANGES IN THE MARKET VALUE OF ANY CARD.
WE DO NOT OWE YOU ANY FIDUCIARY DUTY, notwithstanding the custodial arrangements described in Section 6.
Some jurisdictions do not permit the exclusion of certain warranties, and accordingly some of the foregoing exclusions may not apply to you.
24Limitation of Liability
24.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER RITUAL LABS NOR ITS AFFILIATES, MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
24.2 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE THOUSAND U.S. DOLLARS ($1,000).
24.3 Exclusions from the Limitation. THE LIMITATIONS IN SECTIONS 24.1 AND 24.2 DO NOT APPLY TO, AND NOTHING IN THESE TERMS LIMITS, OUR OBLIGATION TO RETURN (A) THE FUNDS COMPRISING YOUR BALANCE AND (B) THE CARDS TO WHICH YOU HOLD TITLE, OR THEIR VALUE WHERE RETURN OF THE CARD ITSELF IS NOT POSSIBLE. Your Balance and your Cards are your property and not damages, and our obligation to return them is not subject to any cap.
24.4 Nothing in these Terms excludes or limits any liability that may not lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, for gross negligence or willful misconduct, or for death or personal injury caused by negligence. Some jurisdictions do not permit the limitation of certain damages, and accordingly some of the foregoing may not apply to you.
25Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Ritual Labs and its affiliates, members, officers, employees, agents, and service providers from and against any claim, demand, action, damage, loss, cost, liability, or expense (including reasonable attorneys’ fees) arising out of or relating to (a) your breach of these Terms or any incorporated policy, (b) your misuse of the Service, (c) your violation of any applicable law, or (d) your violation of the rights of any third party.
This Section does not apply to any claim arising from our own gross negligence, willful misconduct, or fraud.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with our defense of such matter.
26Dispute Resolution and Governing Law
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH US INDIVIDUALLY AND LIMITS THE MANNER IN WHICH YOU MAY SEEK RELIEF.
26.1Governing Law
These Terms, and any dispute arising out of or relating to them or to the Service, are governed by the laws of the State of Delaware, without regard to its conflict of laws principles, except that the Federal Arbitration Act governs the interpretation and enforcement of Section 26.3. Nothing in this Section 26.1 deprives you of the protection of any mandatory consumer protection provision of the law of your state of residence.
26.2Informal Resolution
Before commencing any arbitration or proceeding, you agree to first contact us at legal@ritualrips.com with a written description of the dispute, the relief sought, and your contact information, and to engage in good faith efforts to resolve the dispute informally for a period of sixty (60) days. This requirement is a condition precedent to commencing arbitration. The applicable statute of limitations is tolled during that period.
26.3Binding Arbitration
If the dispute is not resolved under Section 26.2, you and Ritual Labs agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, as modified by these Terms.
The arbitration will be conducted by a single arbitrator, in the English language. For claims of ten thousand U.S. dollars ($10,000) or less, you may elect that the arbitration proceed by telephone, by videoconference, on documents alone, or in the county of your residence. We will pay the filing, administration, and arbitrator fees for which we are responsible under the AAA Consumer Arbitration Rules. The arbitrator may award any relief that a court could award on an individual basis.
26.4Class Action and Jury Trial Waiver
YOU AND RITUAL LABS EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of representative proceeding.
If this Section 26.4 is found unenforceable as to any claim or any request for relief, that claim or request shall be severed and litigated in court, and the remaining claims shall proceed in arbitration.
26.5Small Claims
Either party may bring an individual action in small claims court, in a court of competent jurisdiction, in lieu of arbitration, so long as the action remains in that court and is brought on an individual basis.
26.6Right to Opt Out
You may opt out of Section 26.3 and Section 26.4 by sending written notice to legal@ritualrips.com within thirty (30) days of first accepting these Terms, stating your name, the email address associated with your account, and your intention to opt out. Opting out does not affect any other provision of these Terms and will not affect your use of the Service in any way.
26.7Injunctive Relief
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights or to prevent unauthorized access to the Service, pending the outcome of arbitration.
26.8Limitations Period
Any claim arising out of or relating to these Terms or the Service must be commenced within one (1) year after the claim accrues, except where a longer period is required by applicable law, in which case that longer period applies.
26.9Venue
Where a dispute is not subject to arbitration, and subject always to Section 26.1 and Section 26.5, you and Ritual Labs submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.
27Consent to Electronic Communications
You consent to receive communications from us electronically, including by email and by notice within the Service, and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing.
You may withdraw this consent by closing your account. Because the Service is provided electronically, we cannot continue to provide it to you if you withdraw consent to electronic communications. It is your responsibility to keep your email address current.
28Apple App Store and Mobile Application Terms
This Section applies where you download or use the Ritual Rips application from a third-party application store or distribution platform (an “App Store”), including the Apple App Store.
- These Terms are between you and Ritual Labs only, and not with the App Store provider. Ritual Labs, not the App Store provider, is solely responsible for the application and its content.
- The App Store provider has no obligation to furnish any maintenance or support in respect of the application.
- The App Store provider is not responsible for any claim relating to the application, including product liability claims, any claim that the application fails to conform to a legal or regulatory requirement, and any claim arising under consumer protection or similar law. In the event of a failure of the application to conform to any applicable warranty, you may notify the App Store provider, which may refund the purchase price of the application itself, if any; to the maximum extent permitted by law, the App Store provider has no other warranty obligation.
- The App Store provider is not responsible for addressing any third-party claim that the application infringes intellectual property rights.
- The App Store provider, and its subsidiaries, are third-party beneficiaries of these Terms and may enforce them against you.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as a terrorist-supporting country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- Where a purchase is made through an App Store’s own payment mechanism, that App Store’s refund and dispute process may apply in addition to, or instead of, Section 30 (Refunds and Cancellations), and a refund granted by an App Store provider is outside our control.
- Your use of the application must comply with the applicable App Store terms of service.
29Odds Disclosure and Fairness
29.1Introduction
Ritual Labs LLC (“Ritual Labs,” “we,” “us,” or “our”) offers Packs containing physical collectible trading cards allocated by randomized draw. This Section sets out the probabilities applicable to each Pack, the value figure published for each Pack, the methodology by which outcomes are determined, and the means by which you may independently verify the outcome of any purchase.
We publish this Section because a purchaser is entitled to know, before committing funds, precisely what is being offered and how likely each outcome is. It also reflects our obligations under Apple App Store Review Guideline 3.1.1, which requires that applications offering randomized items for purchase disclose the odds of receiving each type of item prior to purchase; under Section 5 of the Federal Trade Commission Act, which requires that odds and value claims be truthful and substantiated; and under applicable state consumer protection law.
29.1.1The Short Version
- Every Pack publishes its odds before you buy, tier by tier, with the value range of each tier.
- Every Pack publishes a value figure in dollars — either the average value of the Cards in the Pack or the expected value of the Pack — and that figure is lower than the price. Most Packs return Cards worth less than what you paid.
- Every Card in a Pack is a real, graded, physical card held in an insured vault. There is no outcome in which you pay and receive nothing.
- A Card shown in a Pack is not guaranteed to be in stock. Your Card is allocated from the Cards actually available at the moment of your draw, and a Card that has already gone to another User is not among them. See Section 29.3.6.
- Every draw is verifiable. We publish a cryptographic commitment before the draw and reveal the seed afterwards, so you can re-derive your own outcome rather than take our word for it.
- We do not change odds for individual Users, and no outcome depends on any outcome that came before it. Every draw is independent.
29.2What a Pack Is
A Pack is a fixed-price purchase of one or more physical collectible trading cards allocated at random from a defined pool of eligible Cards. Each Card in the pool is a real, individually identified, third-party graded card held in an insured vault facility in the United States.
Every Pack offered through the Service displays, before purchase:
- its price, stated in U.S. dollars;
- its rarity tier structure, being the tiers from which a Card may be allocated;
- the value range of each tier, expressed as a floor and a ceiling in U.S. dollars;
- the published probability associated with each tier;
- a value figure for the Pack, being either the average value of the Cards it contains or the expected value of the Pack, stated in U.S. dollars; and
- the maximum number of Packs that may be purchased in a single transaction.
Tier names, tier counts, and value ranges are set per Pack and differ between Packs. One Pack may offer four tiers and another six. We publish each Pack’s own structure rather than forcing every Pack into a single scheme, because the published figures must describe the Pack you are actually buying.
29.2.1Chase Cards
Certain Packs identify chase cards — the headline, highest-value Cards their pool contains. These are the best outcomes a Pack can produce and are, by definition, the least likely. The presence of a chase card in a Pack is not a representation that you are likely to receive it, or any Card of comparable value. Every chase card we display is present in the corresponding pool when the Pack is offered and is capable of being allocated, subject to the availability described in Section 29.3.6.
29.3Publication of Odds
29.3.1Where Odds Are Published
The probabilities applicable to a Pack are displayed within the Service, on the Pack itself, and are accessible before the purchase action. They are not disclosed only after purchase and are not buried in a settings menu or a secondary screen. No account, purchase, or payment method is required in order to view them.
The complete list of Cards a Pack can produce is likewise reachable before purchase, together with each Card’s value.
29.3.2Uniform Application
The probabilities published for a Pack are the probabilities applied to your draw. They are identical for every User. We do not vary published probabilities by User, by session, by spending history, by account tenure, by device, or by prior outcomes.
29.3.3How Probabilities Are Expressed
Each tier of a Pack carries an allocation weight. The probability we publish for a tier is that tier’s weight as a proportion of the total weight of all tiers in that Pack, expressed as a percentage. The probabilities published for a Pack therefore total 100%, and the figures displayed to you are the figures applied in the draw.
Probabilities are displayed to two decimal places — for example, 0.05%. Where a probability is smaller than the displayed precision, we state it as a ratio — for example, 1 in 20,000 — rather than rounding it to zero.
29.3.4Card-Level Allocation
Once a tier is selected, an individual Card is allocated from the pool of Cards eligible for that tier at the moment of the draw. Within a tier, each eligible Card is equally likely to be allocated. The pool of Cards eligible for a tier changes as Cards are allocated to other Users and as inventory is added, so the probability of receiving one specific Card depends on how many Cards are in its tier’s pool at the time of your draw. The pool as it stood at the moment of your draw is published to you as part of the verification record for that purchase, so the Card-level probability applicable to your own draw is reconstructible rather than merely asserted.
29.3.5Changes to a Pack
We may alter the tiers, probabilities, value ranges, or contents of a Pack for future purchases. Where we do, the published figures for that Pack are updated at the same time as the change. We do not alter the probabilities applicable to a purchase after it has been made.
29.3.6Availability of Individual Cards
A Card being configured as part of a Pack does not mean that Card is available at every moment the Pack is on sale. The Cards backing a Pack are individual physical items held in a vault, and each one can be allocated only once. A Card listed for a Pack may be unavailable at the time of your draw because it has already been allocated to another User, because it has been shipped or withdrawn from the vault, because it is in transit or under review, or because it is otherwise out of stock with our vaulting and fulfillment provider.
We do not control that inventory in real time and we do not represent that any specific Card remains available at any given moment. Where a Card is unavailable it is simply not in the eligible pool for that draw. Nothing is substituted in its place, and its absence gives you no claim to it, to a Card of similar value, or to a refund.
Your Card is allocated from the pool that actually exists at the moment of your draw, and that pool is published to you in the verification record for your purchase (Section 29.3.4), so what was genuinely available to you is a matter of record rather than assertion.
A Pack may also be retired or withdrawn from sale before every Card in its pool has been allocated, including a chase card. Retiring a Pack is not a representation that its remaining Cards were unobtainable, and no User acquires any right or interest in a Card that was never allocated to them.
29.4Pack Value Figures
29.4.1What We Publish
Every Pack publishes a value figure, in U.S. dollars, before you buy. Depending on the Pack, that figure is either:
- the average value of the Cards in the Pack — the average market value of the Cards in its pool; or
- the expected value of the Pack — that same average, weighted by the Pack’s published probabilities.
Each Pack identifies which of the two figures it displays. The two are not the same number where a Pack’s tiers differ widely in value, and we do not present one as the other.
Both figures are derived from the current fair market value of the Cards in the pool, taken from an independent market pricing feed, and are recomputed as those market values move. The figure shown against a Pack is the most recent computation and the time at which it was made.
Neither figure is a price at which we, or anyone else, will buy a Card from you. Buyback Offers are governed by Section 7.
29.4.2What It Means
The value figure published for a Pack is lower than its price. That is how the Service is able to operate, and it is stated plainly rather than buried.
Most Packs return Cards worth less than their purchase price. Over a large number of purchases you should expect to receive Cards with an aggregate value materially lower than the aggregate amount you have paid. Individual outcomes vary substantially — that is the nature of a randomized allocation — but the average is not in your favor and is not designed to be.
The published figure is an average across the whole pool. It is not a floor, not a typical outcome, and not a prediction of what any individual Pack will return. A Pack whose published figure is forty dollars will, on most openings, return a Card worth considerably less than forty dollars, with the average carried by rare, high-value outcomes.
29.4.3What We Do Not Claim
We do not represent Packs as an investment, as a store of value, or as a means of generating a return. Cards are collectible goods. Their market values fluctuate, may decline substantially and without notice, and the value displayed within the Service is an estimate derived from a third-party feed rather than an appraisal or an offer.
YOU SHOULD NOT PURCHASE PACKS WITH FUNDS YOU CANNOT AFFORD TO LOSE.
29.5How the Draw Works
29.5.1Where the Draw Happens
Packs are drawn, and the physical Cards backing them are held, by our vaulting and fulfillment provider. The draw is executed on that provider’s systems, not in the Ritual Rips application on your device. The application does not perform a draw, does not compute an outcome, and does not receive the identity of a Card before the reveal.
Neither Ritual Labs nor any employee, contractor, or affiliate of Ritual Labs can see, influence, select, or re-run the outcome of a draw. We can commit to a draw and we can read its result; we cannot choose it.
29.5.2Two Seeds
Each draw is derived from two inputs:
- a server seed, generated by the provider; and
- a client seed, submitted by us on your behalf with your purchase.
Both are published once the purchase has settled, which is what makes the outcome reproducible by you rather than merely reported to you.
29.5.3One Purchase, One Outcome
Each purchase is executed once and settles once. A settled purchase cannot be voided, re-run, or reversed, and a repeated request under the same purchase identifier returns the original outcome rather than drawing again. There exists no mechanism by which an outcome may be drawn, inspected, and redrawn.
29.5.4Odds Are Fixed at Purchase
The probabilities, value ranges, and value figure applied to your purchase are those published at the moment you purchase. See Section 29.3.5.
29.6Provable Fairness
Before a Pack is drawn, we obtain a cryptographic commitment to the server seed and publish it to you. After the draw has settled, the seed itself is revealed. Because the commitment is a SHA-256 hash of the seed, and because it existed before the draw ran, a seed chosen to suit the outcome cannot match the commitment you were already holding.
29.6.1The Sequence
| Step | What happens | What you can see |
|---|---|---|
| 1. Commit | Before any draw runs, the provider generates a server seed and returns its SHA-256 hash | The hash, shown to you before you confirm your purchase |
| 2. Buy | The Pack is drawn against that committed seed and a client seed submitted with your purchase | Your Cards |
| 3. Reveal | Once the purchase has settled, the server seed itself is published | The seed, the client seed, the draw values, and the pool of eligible Cards as it stood at the moment of the draw |
29.6.2How to Verify
For any purchase, the verification record within the Service lets you confirm three things:
- That the seed was committed in advance. Hash the revealed server seed with SHA-256 and compare it to the commitment you were shown before you confirmed the purchase. If they match, the seed predates the draw.
- That the tier was drawn from that seed. The record publishes the value that selected your tier, so the tier you received can be re-derived from the seeds.
- That the Card was drawn from the eligible pool. The record publishes the pool of Cards eligible for that tier at the moment of the draw, and the value that selected your Card from it, so the specific Card can be re-derived.
The verification record states the derivation method applicable to your purchase, so the computation can be reproduced exactly.
29.6.3Where a Commitment Could Not Be Obtained
Where a commitment was obtained for a purchase, the verification record says so and shows it. In the rare case that a commitment could not be obtained before the draw — a transient failure of the provider’s commitment service — the record for that purchase says so explicitly. Such a purchase still carries a full record of the seeds and the draw, and remains internally reproducible, but it does not carry proof that the seed predated the draw, and we do not claim that it does.
Verification records are retained and remain accessible to you for the life of your account.
29.7Practices We Do Not Engage In
For the avoidance of doubt, we do not:
- alter published probabilities for any individual User or category of Users;
- remove Cards from a pool, or add Cards to a pool, without contemporaneously updating the published probabilities, value ranges, and checklist;
- operate any mechanism by which an outcome is made dependent upon prior outcomes, including any form of compensation for, or suppression of, earlier results — every draw is independent;
- offer a Pack whose advertised chase card is not present in, and capable of allocation from, its pool at the time the Pack is offered, subject to Section 29.3.6;
- represent the ceiling value of a Pack, or any chase card, as a typical, expected, or probable outcome in any marketing, promotional, or in-Service communication;
- permit any employee, contractor, or affiliate to obtain a preferential outcome, a preview of an outcome, or a re-draw;
- offer any Pack in which a purchaser can pay and receive no Card at all; or
- present a Pack’s published value figure, or any other value figure, as a projection of what your own purchase will return.
29.8Odds Are Not a Guarantee
Published probabilities describe the likelihood of an outcome across a large number of draws. They constitute no representation concerning your draw, or concerning any finite number of draws.
A Card allocated at a probability of one in two thousand carries that probability on every draw. That probability does not increase because you have previously opened Packs without receiving it, and additional purchases do not make any outcome more probable. One purchaser may receive a chase card on a first purchase; another may make many purchases and receive none. Both outcomes are fully consistent with the published probabilities.
29.9Purchase Limits
Each Pack states the maximum number of Packs that may be purchased in a single transaction. We may also apply limits to the amount that may be deposited or spent over a given period, either generally or on an individual account, and we may lower a limit at any time. Controls you set for yourself under Section 29.10 are applied in addition to ours and always take precedence where they are stricter.
29.10Spending Controls You Can Set
The Service is offered for collecting and entertainment purposes. It is not a way to make money, and Section 29.4 explains why it cannot be.
Decide what you are willing to spend before you start, and use the controls below to hold yourself to it. The published probabilities do not change with continued purchasing, and further purchases do not recover what has already been spent.
29.10.1Controls Available to You
| Control | What it does | How to set it |
|---|---|---|
| Deposit limit | Caps what you can add to your Balance over a period you choose | Within the Service, under Account |
| Spending limit | Caps what you can spend on Packs over a period you choose | Within the Service, under Account |
| Cooling-off period | Suspends purchasing for a period you choose, while leaving your Balance and Cards untouched | Within the Service, under Account |
| Account self-suspension | Closes the Service to you for a period you choose, up to and including permanently | Within the Service, under Account, or by email to support@ritualrips.com |
A control takes effect immediately when you set it or make it stricter. A request to raise or remove a limit, to shorten a cooling-off period, or to end a self-suspension does not take effect immediately: it takes effect only after the period you originally chose has run, and in any event not less than twenty-four (24) hours after you ask. That delay is deliberate, and it exists so that a decision made calmly is not undone in a moment of frustration.
29.10.2What a Self-Suspension Does
During a period of self-suspension:
- you cannot deposit funds or purchase Packs;
- you keep the right to withdraw your Balance, subject to the ordinary verification and withdrawal controls in Section 32 (Anti-Money Laundering and Identity Verification);
- you keep the right to request physical delivery of every Card you hold, within the one hundred fifty-six (156) hour offer period that applies to it under Section 7.3; a Card you do not action within that period is sold back automatically and the proceeds credited to your Balance;
- we will stop sending you promotional communications; and
- we will decline any further account you attempt to open, and we retain the minimum information necessary to enforce that. See Section 6 of our Privacy Policy.
A permanent self-suspension is permanent. We will not reopen the account or accept a new registration from you.
Nothing is forfeited by suspending your account. Your Balance remains yours and remains claimable, as does every Card you hold and the proceeds of any Card sold back under Section 7.3.
29.10.3Asking Us to Apply a Control
If you would rather not set a control yourself, email support@ritualrips.com and we will apply it to your account for you. We do not require a reason and we will not ask for one.
29.11Age Restriction
Packs may be purchased only by persons eighteen (18) years of age or older, or the age of legal majority in your state of residence if greater. See Section 2.
29.12Questions and Disputes
If you believe that an outcome was incorrectly determined, or that our published probabilities do not correspond to your experience of the Service, contact us at support@ritualrips.com identifying the purchase concerned. We will review the verification record for that draw with you, including the commitment, the revealed seed, and the eligible pool, and we will walk through the re-derivation step by step.
29.13Changes to This Section
We may update this Section from time to time. Where a change is material, we will provide notice within the Service before it takes effect. The Version and Effective Date at the top of these Terms always reflect the current text. A change to this Section never alters the probabilities, value ranges, or published value figure applicable to a purchase already made.
29.14Contact Information
The contact addresses for all matters, including those arising under this Section, are set out at Section 35.

All sales of Packs are final and non-refundable. A Pack is opened, and its outcome determined, immediately upon purchase. Once opened, a Pack may not be cancelled, refunded, returned, or reversed, including where you are dissatisfied with the Card allocated to you.
30.3.2What Is Not a Ground for Refund
The following do not constitute grounds for a refund:
- Dissatisfaction with the outcome of a randomized allocation. An outcome you did not want is not a defect in the Service.
- A change in the market value of a Card following your purchase, in either direction.
- Change of mind, or a purchase you regret, after it has been completed.
- Not having read or understood the price, odds, published value figure, or terms disclosed to you before you confirmed the purchase.
- Suspension or termination of your account resulting from your own breach of these Terms. Note that suspension or termination does not forfeit your Balance or your Cards; see Section 15.2 of these Terms.
- Disagreement with the grade assigned to a Card by an independent grading company.
- Allowing a Buyback Offer to be accepted on your behalf at the end of the one hundred fifty-six (156) hour period. The proceeds are credited to your Balance under Section 7.3, and that automatic sale is not a ground for a refund.
- Not receiving a Card that was listed for a Pack but was unavailable at the time of your draw. Cards are individual physical items and each may be allocated only once; a Card that has already been allocated, shipped, or withdrawn from the vault is not in the eligible pool for your draw. See Section 29.3.6.
30.3.3Disclosures Made Before Purchase
This finality is disclosed to you before every purchase. Before you commit funds:
- the probability applicable to each rarity tier is published and accessible, together with the value range of each tier and the list of Cards the Pack can produce, as described in Section 29 (Odds Disclosure and Fairness);
- a value figure for the Pack — being either the average value of the Cards it contains or the expected value of the Pack — is published, in dollars;
- we disclose that most Packs return Cards worth less than their purchase price; and
- the price, and any tax collected, are displayed and require your confirmation.
If the possibility of an unfavorable outcome is not one you wish to accept, you should not purchase a Pack.
30.4Circumstances in Which We Issue Refunds
30.4.1Charge Without Allocation
Where a charge has been processed and no Cards were allocated to you as a result of an error attributable to us, we refund that charge in full. Our reconciliation processes are designed to identify and resolve such charges without action on your part. If you believe a charge of this kind has not been resolved, please contact us.
30.4.2Duplicate or Erroneous Charges
A duplicate charge, a charge processed as a result of a system failure, or a charge in an amount other than the price you confirmed, is refunded in full upon confirmation.
30.4.3Unauthorized Transactions
Where your account has been accessed without your authorization and transactions were made that you did not authorize, we will investigate and refund the unauthorized transactions. Report this immediately at support@ritualrips.com and see Section 3.3.
30.4.4Counterfeit or Materially Misdescribed Cards
Where a Card is verified to be counterfeit, or to differ materially from its description — for example, a Card represented as carrying a particular grade from a particular grading company which is verified not to be that Card — we will replace the Card or credit your Balance in the amount of the Buyback Offer price applicable to it, at your election and subject to availability.
30.4.5Shipments Lost in Transit
Where a shipment is confirmed lost before delivery, we will, at your election and subject to the availability of the Card:
- replace the Card; or
- credit your Balance in the amount of the Buyback Offer price applicable to that Card,
and in either case refund the shipping charge you paid.
Report a shipment as lost when tracking has shown no movement for seven (7) or more business days, or where the carrier confirms the loss. A claim under this Section must in any event be submitted within thirty (30) days of the estimated delivery date.
30.4.6Damaged or Non-Conforming Cards
Where a Card is delivered in a damaged condition, or where the Card delivered is not the Card allocated to you, we will replace the Card or credit your Balance in the amount of the applicable Buyback Offer price, and will refund the shipping charge you paid.
A claim under this Section must be submitted within seven (7) days of delivery and must be accompanied by photographs of the item and of the packaging in the condition received.
Please retain all packaging until your claim is resolved, as carriers ordinarily require it in order to process a damage claim. Please inspect your shipment promptly on arrival — the window is short because our own recourse against the carrier and the fulfillment chain is short, and a claim made late may not be recoverable by us.
This Section does not apply to:
- the grade assigned to a Card. Grades are assigned by independent third-party grading companies. Disagreement with a grading company’s assessment is not a claim of damage or non-conformity;
- condition characteristics disclosed at the time of allocation, including any condition visible in the images presented to you; or
- damage or loss occurring after successful delivery, including theft from the delivery address.
30.4.7Where the Law Requires It
We will issue a refund in any circumstance in which applicable law confers a right of withdrawal, return, or refund. Nothing in this Section limits any right of refund, return, or cancellation available to you under applicable state or federal consumer protection law, which may afford you rights in addition to those described here.
30.5How to Submit a Claim
Submit claims to support@ritualrips.com, with “Refund Request” in the subject line, including:
- the email address associated with your account;
- the date and approximate amount of the transaction;
- the Pack, order, or shipment concerned;
- a description of the issue; and
- for a claim under Section 30.4.6, photographs of the item and of the packaging as received.
A claim must be submitted within thirty (30) days of the transaction date, except where Section 30.4.5 or Section 30.4.6 specifies a different period, in which case that period applies.
30.5.1Our Response
We will acknowledge your claim within five (5) business days and will aim to resolve it within thirty (30) business days.
Many claims are resolved considerably faster. Where a claim requires a carrier investigation or verification by our fulfillment provider, resolution takes longer, and we will provide you with periodic updates rather than leaving the claim unacknowledged.
30.6Method and Timing of Refunds
30.6.1Method
Approved refunds are returned to the original payment method where practicable, or credited to your Ritual Rips Balance. We will notify you of the method used and the date of issue.
30.6.2Timing
We issue approved refunds within five (5) business days of approval. Where a refund is returned to a payment method, the time required for it to appear on your statement is determined by your card issuer or financial institution and is ordinarily a further five (5) to ten (10) business days.
30.6.3Purchases Made Through an App Store
Where a purchase was made through an App Store’s own payment mechanism, that App Store’s refund process may apply instead of, or in addition to, this Section. A refund granted or refused by an App Store provider is outside our control. Contact us first and we will tell you which process applies to your purchase.
30.7Cancellations
30.7.1Packs
A Pack opens immediately upon purchase. There is no interval between purchase and opening during which a cancellation could take effect.
30.7.2Shipments
You may cancel a shipment request, without charge, at any time before the Card leaves the Vault. Once a shipment has been dispatched it may not be cancelled, and the shipping charge is not refundable except under Section 30.4.5 or Section 30.4.6.
30.7.3Buyback Offers
Acceptance of a Buyback Offer is final and irrevocable upon confirmation.
Where you neither accept a Buyback Offer nor request delivery within the one hundred fifty-six (156) hour offer period, the offer is accepted on your behalf at the end of that period and the proceeds are credited to your Balance, as described in Section 7.3. That sale is final and irrevocable once completed and cannot be cancelled afterward.
30.7.4Closure of Your Account
You may close your account at any time through the Service. No fee applies, and there is no subscription to cancel. As we cannot close an account that continues to hold your funds or your property, you must first withdraw your Balance and either accept a Buyback Offer for, or request shipment of, each Card you hold.
30.8Payment Disputes and Chargebacks
30.8.1Contact Us First
If you believe a charge is incorrect, please contact us at support@ritualrips.com before initiating a dispute with your card issuer or financial institution. Disputes raised directly with us are ordinarily resolved substantially more quickly, and a chargeback places a hold on the funds for the duration of the issuer’s investigation.
30.8.2Consequences of a Chargeback
Where you initiate a chargeback, we may suspend your account and place a hold on your Balance and Vaulted Items pending resolution, as provided in Section 11.4. Where a dispute is resolved in our favor in respect of a transaction we are able to demonstrate was authorized and fulfilled, we may debit the disputed amount, together with any associated fee assessed against us, from your Balance. Repeated or unfounded chargebacks may result in permanent termination of your account.
30.8.3Invalid Disputes
A chargeback initiated in respect of a Pack that was purchased, opened, and allocated in accordance with its published probabilities does not constitute a valid dispute. We contest such disputes with the transaction record, the probabilities and value figure published and displayed to you before purchase, your confirmation of the purchase, and the verification record for the draw.
30.9Changes to This Section
We may update this Section from time to time. A change applies only to transactions occurring after it takes effect and never retroactively to a transaction already completed. Where a change is material, we will provide notice within the Service before it takes effect.
30.10Contact Information
The contact addresses for all matters, including those arising under this Section, are set out at Section 35.
31Shipping and Delivery
31.1Introduction
This Section describes how we fulfill requests for physical delivery of Cards held in the Vault.
31.2Summary
| Destinations served | United States only |
| Shipping charges | Priced per shipment and quoted to you before you confirm |
| Delivery estimate | Shown to you for your specific shipment before you confirm. Most domestic shipments are delivered within one to two weeks of your request; some take longer, as explained in Section 31.7 |
| Outside limit | We will ship within thirty (30) days of your request or offer you the option to cancel for a full refund of the shipping charge |
| Tracking | Provided for every shipment |
| Insurance | Every shipment is insured in transit |
| Signature | May be required on higher-value shipments |
| Risk of loss | Passes to you upon delivery, not upon dispatch |
31.3What Is Shipped
Cards allocated to you through the Service are physical collectible trading cards, held on your behalf in an insured third-party Vault until you accept a Buyback Offer for them or request their physical delivery.
Upon a request for shipment, the specific Card allocated to you — the Card recorded in your collection — is the Card that is shipped. We do not substitute an equivalent or comparable Card in any circumstance.
Where a Card has been graded by an independent grading company, it ships in its sealed grading holder.
31.4Requesting Delivery
31.4.1Making a Request
You may request delivery of any Card you hold, at any time within the one hundred fifty-six (156) hour offer period described in Section 7.3, through your collection within the Service. Confirm the shipping request before the deadline; a quote alone does not reserve a Card or extend the window. After the deadline, new shipping requests are unavailable and the Card enters the automatic sell-back process under Section 7.3. There is no minimum shipment value, no minimum quantity, and no holding period.
Identity verification may be required before we will dispatch a shipment. See Section 12.1.
31.4.2Effect of a Request
Two consequences follow from a request for shipment, neither of which is reversible once the Card has left the Vault:
- The Card becomes permanently ineligible for buyback, notwithstanding that the one hundred fifty-six (156) hour Buyback Offer period may remain open; and
- The Card leaves our custody and enters the fulfillment and carrier network.
31.4.3Cancellation
You may cancel a shipment request, without charge, at any time before the Card leaves the Vault. Once dispatched, a shipment may not be cancelled.
31.4.4Consolidated Shipments
Consolidating multiple Cards into a single request ordinarily costs less than shipping them individually. The Service prices the shipment as you configure it at the time of the request.
A consolidated request may nevertheless arrive as more than one parcel. Cards are held across more than one vault facility, and Cards held at different facilities ship separately, each with its own tracking and its own delivery date. Where that applies to your request, the Service shows you each parcel and its tracking separately.
31.5Shipping Charges
Shipping is priced per shipment and displayed to you before you confirm. The price is obtained as a live quotation from our fulfillment provider for the specific shipment being configured, and may comprise both carriage and a vault withdrawal fee. The amount you confirm is the amount you are charged. We do not estimate shipping and reconcile the difference afterward.
Rate quotations expire. Where a quotation has expired before you confirm, the Service will obtain a current quotation rather than charging you against an outdated rate.
Shipping charges are payable in addition to amounts previously paid for a Pack and are not included in the price of a Pack. The amount displayed before you confirm is the full amount you are charged for that shipment, and no further fee is applied to it afterward.
31.6Destinations
We ship within the United States only.
We do not ship internationally. We do not ship to freight forwarders, and we may decline any address that our fulfillment provider or a carrier identifies as undeliverable or as presenting an elevated risk of loss.
As we ship domestically only, no customs duties, import charges, or brokerage fees arise.
31.6.1Address Requirements
To be accepted, an address must:
- use Latin (Roman) characters only;
- have every field completed, including a recipient name that corresponds to the address;
- carry a correct postal or ZIP code; and
- be a street address. Post office boxes may be refused, depending on the carrier and the value of the shipment.
Addresses are validated before a shipment is booked, and a request may be rejected or returned to you for correction.
31.7Timing
31.7.1Your Estimate Is Shown Before You Confirm
The delivery estimate for your specific shipment is displayed to you at the time you request it, before you confirm, and it is the estimate that applies to that shipment.
We show you a per-shipment estimate rather than publishing a single universal window because fulfillment time depends on which vault facility holds your Card, and Cards are held across several. Retrieval times differ between facilities.
31.7.2What to Expect
Most domestic shipments are delivered within one (1) to two (2) weeks of your request.
Some Cards are held at facilities with longer retrieval times, and those shipments typically take two (2) to three (3) weeks in total. Where that applies to your Card, the estimate shown to you before you confirm will reflect it.
Where a request covers Cards held at more than one facility, parcels may arrive on different dates, and each carries its own estimate.
31.7.3Nature of These Estimates
The periods stated in this Section 31.7 are good faith estimates and are not guaranteed. Vault retrieval volumes, carrier delays, severe weather, and seasonal peak volumes affect fulfillment and transit times, and some of these are outside our control.
31.7.4Shipment Within Thirty Days
Consistent with the Federal Trade Commission’s Mail, Internet, or Telephone Order Merchandise Rule, we will ship your Card within thirty (30) days of your request. Where we are unable to do so, we will notify you of the delay, provide a revised shipment date, and offer you the option to consent to the delay or to cancel the shipment request and receive a full refund of the shipping charge, with the Card returned to your collection in the Vault.
31.7.5Notification and Tracking
We notify you upon dispatch and provide tracking information for each parcel. Where a request ships as more than one parcel, each parcel carries its own tracking.
31.8Packaging, Insurance, and Signature
31.8.1Packaging
Cards are shipped in protective packaging appropriate to the item — which may include rigid mailers, top loaders, bubble wrap, and padded envelopes — and graded Cards ship in their sealed grading holders. The exterior packaging does not identify its contents or their value.
31.8.2Tracking and Insurance
Every shipment is tracked and is insured in transit, based on the declared value of the Card or Cards it contains. Insurance is maintained by our fulfillment provider and its carriers and is subject to the terms, exclusions, and limits of the applicable policies.
31.8.3Signature
A signature may be required upon delivery of a higher-value shipment. Where a signature is required, we are unable to authorize a carrier to leave the shipment unattended, and we are unable to honor a request to do so. This requirement protects both parties and may be a condition of the shipment’s insurance coverage.
31.9Delivery Information Is Your Responsibility
You are solely responsible for providing a complete and accurate shipping address and a recipient name corresponding to it.
We are not responsible for a shipment misdelivered as a result of address information you provided, and any re-shipment in such circumstances is at your expense. Please verify your address before confirming a shipment. Inaccurate address information is the most frequent cause of delivery failure.
Once a shipment has been dispatched we are generally unable to change its destination. Where a carrier offers post-dispatch redirection, any fee is payable by you, and a redirection may void the insurance coverage applicable to the shipment.
31.10Delivery Problems
Section 30 (Refunds and Cancellations) governs delivery claims in full. In summary:
| Problem | Remedy | When to Report |
|---|---|---|
| No tracking movement, or carrier confirms loss | Replacement of the Card or credit of its Buyback Offer price, plus the shipping charge paid | When tracking has shown no movement for seven (7) or more business days, and in any event within thirty (30) days of the estimated delivery date |
| Delivered damaged, or non-conforming | Replacement or credit, plus the shipping charge paid. Photographs of the item and packaging as received are required | Within seven (7) days of delivery |
| Recorded as delivered but not received | We will open an investigation with the carrier and our fulfillment provider upon your report | Promptly upon discovery |
Please inspect your shipment promptly on arrival and retain all packaging until any claim is resolved. The damage window is short because our own recourse against the carrier and the fulfillment chain is short.
Before reporting a shipment recorded as delivered but not received, please check with other members of your household and with immediate neighbors, and look for a carrier notice. These steps resolve the substantial majority of such reports.
Risk of loss of a Card passes to you upon delivery. Until delivery, the shipment is insured and any claim against the carrier is ours to pursue. We are not responsible for a shipment stolen after successful delivery, or for damage caused after delivery.
31.11Taxes
As merchant of record, where we are required to collect sales, use, or similar transaction taxes, we calculate and collect such taxes and remit them to the applicable taxing authority. Any tax collected is displayed to you before you confirm.
Because we hold Cards as custodian while awaiting your instructions, applicable transaction tax is ordinarily calculated and collected at the point at which you request physical delivery of a Card, rather than at the point at which you purchase a Pack. Where the law of your state requires that tax be collected at the time of purchase, we collect it then. See Section 11.3.
We do not provide tax advice, and we recommend that you consult a qualified tax professional.
31.12Closure of Your Account
An account may not be closed while Cards remain held for you in the Vault. Before closing your account, you must accept a Buyback Offer for, or request shipment of, each Card you hold. See Section 3.4.
31.13Changes to This Section
We may update this Section from time to time. A change applies only to shipments requested after it takes effect and never retroactively to a shipment already in progress. Where a change is material, we will provide notice within the Service before it takes effect.
31.14Contact Information
The contact addresses for all matters, including those arising under this Section, are set out at Section 35.
32Anti-Money Laundering and Identity Verification
32.1Introduction
Ritual Labs LLC (“Ritual Labs,” “we,” “us,” or “our”) permits Users of the Ritual Rips service to deposit funds, hold a Balance, sell Cards back to us, and withdraw funds. Those capabilities subject us to United States anti-money-laundering law and to obligations administered by the Financial Crimes Enforcement Network (“FinCEN”) and the Office of Foreign Assets Control (“OFAC”), and to information-reporting obligations administered by the Internal Revenue Service.
This Section describes those obligations as they affect you. This Section applies to every User without exception.
We maintain these controls because the law requires them and because a platform through which value may be moved without scrutiny becomes hostile to the Users it is intended to serve. A purchase mechanism paired with an immediate repurchase offer presents an inherent money laundering risk, and the measures described in this Section exist to address it.
32.1.1What This Section Is Not
This Section is our customer-facing statement of the controls that affect you. It is not our internal compliance program, which is maintained separately, is not published, and is made available to financial institutions, payment processors, regulators, and counsel on request.
32.2Eligibility Requirements
You may access and use the Service only if you:
- are at least eighteen (18) years of age, or the age of legal majority in your state of residence if greater;
- are a resident of the United States, in a state in which the Service is offered;
- are acting on your own behalf and for your own account, and not on behalf of, at the direction of, or for the benefit of any other person;
- are not identified on any list of prohibited or restricted parties maintained by the United States government, including the Specially Designated Nationals and Blocked Persons List maintained by OFAC; and
- are not located in, ordinarily resident in, or accessing the Service from any jurisdiction subject to comprehensive United States sanctions.
You may establish and control one (1) account only. Accounts are personal to you and are not transferable.
We maintain a current list of the states in which the Service is available. That list is displayed within the Service at registration, is published on our website, and is subject to change. We determine your eligibility on the basis of your billing address, the residential address associated with your verified identity, and the location from which the Service is accessed.
32.3Identity Verification
32.3.1Verification Before Withdrawal
You must complete identity verification before you may withdraw funds from the Service. You may register, deposit, and purchase Packs before completing verification; verification is required at the point at which funds are to leave the platform, and may also be required before we will dispatch a physical shipment.
Verification is performed by our payment provider on our behalf and ordinarily requires:
- your full legal name;
- your date of birth;
- your residential address;
- your Social Security number or taxpayer identification number; and
- a government-issued photographic identification document, together with a selfie or other liveness check where required.
We do not receive or store your identification documents, your complete government identification number, or any image or biometric template derived from a liveness check. Our payment provider and its verification vendor collect and verify that information; we receive the outcome of the verification and a reference to it. See Sections 2.5 and 4.1 of our Privacy Policy.
32.3.2Further and Repeated Verification
We may require verification, or re-verification, at any other time, including where:
- the amounts involved or the pattern of your activity warrants enhanced due diligence;
- information we hold concerning you appears inaccurate, incomplete, or outdated;
- you change your withdrawal instrument, email address, or other material account details;
- our monitoring identifies activity requiring review; or
- applicable law otherwise requires it.
32.3.3Source of Funds
Where our obligations require it, we may request information and documentation concerning the source of the funds you deposit and the purpose of your activity on the Service. We may decline to process any deposit, purchase, buyback, or withdrawal pending your response.
32.3.4Withdrawals to Your Own Instrument
Withdrawals may be made only to a payment instrument held in your own verified legal name. We do not permit withdrawal to an instrument belonging to any other person, and we do not permit any third party to fund your account.
32.4Sanctions Screening
We screen Users against United States government sanctions and restricted-party lists, including those administered by OFAC, upon registration and periodically thereafter. We screen against those lists as they stand from time to time; we do not maintain our own list in this Section, because sanctions designations change without notice.
Where a screening result so requires, we will refuse, freeze, or reverse a transaction and terminate the account concerned. Where applicable law requires that funds be blocked rather than returned, we will block them. In that circumstance we are unable to return the funds to you, and any release of blocked funds is a matter for the relevant governmental authority rather than for us. We will inform you to the extent applicable law permits.
32.5Transaction Monitoring, Limits, and Review
We monitor activity on the Service for patterns associated with money laundering, fraud, and abuse. In practical terms:
32.5.1Withdrawal Controls
| Control | Applies |
|---|---|
| Identity verification | Required before your first withdrawal |
| Holding period | Funds credited to your Balance become eligible for withdrawal seven (7) days after they are credited |
| Minimum withdrawal | Ten U.S. dollars ($10.00) |
| Daily limit | A rolling limit of two thousand five hundred U.S. dollars ($2,500) per twenty-four (24) hour period |
| Velocity limits | Additional limits apply to the frequency and pattern of withdrawal activity |
| Tax information | Withdrawals are paused once the reporting threshold in Section 32.6 is reached, until the required forms are complete |
| Processing time | A withdrawal to a bank account ordinarily arrives one (1) to three (3) business days after it is initiated; any faster method offered within the Service states its own timing and fee before you confirm |
32.5.2Review
Transactions exceeding internal thresholds, and transactions identified by our monitoring, are placed in a review queue and are examined by a member of our compliance function before completion. Automated systems do not resolve such transactions.
32.5.3Holds and Limits
We may place a temporary hold on a transaction, a Balance, or an account for the duration of a review, and we may establish or adjust limits on deposits, purchases, buybacks, and withdrawals applicable to any individual account.
32.5.4Confidentiality of Thresholds
We do not publish our monitoring thresholds or the specific patterns to which our monitoring is calibrated. Publication would inform the conduct the monitoring is designed to detect.
32.6Tax Information and Reporting
Proceeds you receive from selling Cards back to us, and other amounts we pay to you, may constitute reportable income.
Where the total you withdraw in a calendar year reaches six hundred U.S. dollars ($600), we are required to collect your taxpayer information and to report those amounts. We will request the information required to complete an IRS Form W-9 — your legal name, address, and taxpayer identification number — through our payment provider.
Withdrawals are paused once you reach that threshold and remain paused until the required tax information is complete. This is not a penalty and not a review under Section 32.5; it is a reporting prerequisite, and the pause lifts as soon as the forms are in order. Your Balance is unaffected, you may continue to use the Service, and nothing is forfeited.
Where we are required to do so, we will furnish you with the corresponding information return and will file a copy with the Internal Revenue Service and, where applicable, with your state taxing authority.
We do not provide tax advice, and we recommend that you consult a qualified tax professional. You remain responsible for determining and meeting your own tax obligations. See Section 11.3.
32.7Inactive Accounts and Unclaimed Balances
Every state has unclaimed property law, under which funds held for a person who cannot be located and who has not engaged with the account for a statutory period must be reported and remitted to that state.
Where your account remains inactive for the period prescribed by the unclaimed property law applicable to you, we may be required to report and remit your Balance to the appropriate state authority. Before we do so, we will attempt to contact you at the email address associated with your account, at the last address we hold for you, and within the Service.
We do not charge a dormancy fee and do not deduct any amount from a Balance before remitting it. Once a Balance has been remitted to a state, you may claim it from that state’s unclaimed property administrator; we will tell you which authority holds it and provide the reference we filed.
Any activity on your account — a deposit, a purchase, a buyback, a withdrawal, or a shipment request — restarts the dormancy period.
32.8Prohibited Conduct
In addition to the Acceptable Use Policy at Section 14, you must not:
- use the Service to launder money, to finance terrorism, or to transmit, convert, or conceal the proceeds of unlawful activity;
- fund your account with a payment instrument that is not yours, or that you are not authorized to use;
- deposit funds and subsequently withdraw them without bona fide use of the Service, or otherwise use the Service principally as a means of transferring value from one place to another;
- structure any deposit, withdrawal, purchase, or buyback — that is, divide it into smaller transactions — for the purpose of evading a reporting, review, or verification threshold;
- establish or control more than one account, or use an account belonging to another person;
- provide false, stolen, or synthetic identity information;
- act on behalf of an undisclosed third party;
- attempt to circumvent any geographic restriction applicable to the Service, including by means of a virtual private network, proxy service, or false address; or
- attempt to circumvent a self-suspension, cooling-off period, or purchasing limit you have set, including by registering a further account.
Engaging in any of the foregoing constitutes a material breach of these Terms. We will terminate the account concerned and, where applicable law requires, report the activity to the appropriate authority.
32.9Refusal, Freezing, and Termination
We may refuse a transaction, freeze a Balance, or terminate an account where this Section, our legal obligations, or a sanctions requirement so requires.
32.9.1Limits on Explanation
We may be unable to explain such action to you. United States law prohibits us from disclosing that a report concerning account activity has been filed or considered, or from disclosing the contents of such a report. This prohibition is a matter of law and is binding upon us. Where we are permitted to explain, we will.
32.9.2Your Funds and Property
Where funds are held rather than blocked, they are held only for so long as the circumstance requiring the hold subsists, and are returned to you upon its conclusion. We do not treat a held Balance as a penalty or as our property, and our obligation to return your Balance and your Cards is not limited by any provision of these Terms, including its limitation of liability.
Where a sanctions obligation requires that funds be blocked, we are unable to return them, as described in Section 32.4.
32.10Recordkeeping
We retain identity verification records and transaction records for not less than five (5) years following the closure of your account, as required by the Bank Secrecy Act and its implementing regulations, and for longer where tax or other law so requires.
This retention survives a request to delete your account. Upon closure we delete the personal information we are able to delete and retain that which we are required to retain, under restricted access and for the sole purpose requiring its retention. See Section 6 of our Privacy Policy.
32.11Reporting Concerns to Us
If you believe that another person is using the Service to launder money, or that your own account has been compromised or is being used by another person, contact us immediately at compliance@ritualrips.com. Reports are treated in confidence.
32.12Cooperation With Authorities
We cooperate with law enforcement and with governmental and regulatory authorities, and will provide information concerning a User and that User’s activity where we are required or permitted by law to do so. We also notify our payment processor of activity we identify as illegal, fraudulent, deceptive, or otherwise suspicious, as our agreement with that processor requires.
32.13Changes to This Section
We may update this Section as our obligations or our controls change. Where a change is material, we will provide notice within the Service before it takes effect. The Version and Effective Date at the top of these Terms always reflect the current text.

33General Provisions
33.1 Entire Agreement. These Terms, together with the incorporated policies listed in Section 1.1, constitute the entire agreement between you and Ritual Labs concerning the Service and supersede all prior agreements and understandings.
33.2 Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be, and the remaining provisions will remain in full force and effect.
33.3 No Waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision or of any other.
33.4 Assignment. You may not assign or transfer these Terms or any right under them without our prior written consent. We may assign these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, or sale of assets, and any assignee takes subject to our obligations in respect of your Balance and your Cards.
33.5 Relationship. Nothing in these Terms creates any partnership, joint venture, agency, employment, or fiduciary relationship between you and Ritual Labs, save that we act as custodial agent in respect of your Cards as described in Section 6.2.
33.6 Force Majeure. We are not liable for any failure or delay in performance resulting from a cause beyond our reasonable control. This Section 33.6 does not excuse or limit our obligation to return your Balance or your Cards.
33.7 Headings. Section headings are for convenience only and do not affect interpretation.
33.8 Third-Party Beneficiaries. Except as provided in Section 28, these Terms confer no rights on any third party.
34Changes to These Terms
We may modify these Terms from time to time. Where a change is material, we will provide notice within the Service and to the email address associated with your account before it takes effect, and will request your acceptance of the revised Terms. Non-material changes take effect when published, and are reflected in the Last Updated date above.
A change to these Terms applies prospectively only and never alters a transaction you have already completed, including the probabilities, published value figure, or Buyback Offer price applicable to a Pack already purchased.
If you do not agree to a revised version of these Terms, you must stop using the Service and may close your account in accordance with Section 3.4.
